FERRERE advised Rabo Partnerships B.V. in its capacity as shareholder of Banco Regional, on the merger process with Sudameris Bank. This is a first-of-a-kind transaction, as the first merger process in Paraguay between publicly traded banking institutions.

Given the features of the merging banking institutions and the novelty of the structure proposed, FERRERE’s involvement included not only assistance on drafting and negotiating the merger documents, but also extended to the development of innovative solutions from a regulatory perspective together with the different working groups, and encompassed close engagement with the relevant authorities to create the necessary regulatory framework to implement the transaction.

As such, FERRERE’s matchless experience in Banking and Capital Markets, combined with its unparalleled expertise in complex M&A transactions, was key to the synergies among the different working groups involved in this unique transaction.

As a result, Sudameris successfully absorbed Banco Regional in record time, thus creating the largest financial institution in Paraguay.
