FERRERE advised Bestinver and Aberdeen in the acquisition of "Circuito Vial 3", the largest highway concession in Uruguay, for approximately USD 235 million.
With a total of 292 kilometers of highway, the Circuit connects the cities of Mercedes with Sarandí del Yi, a pillar of the national transportation system. Together with other routes, it allows the connection of the center and southwest of the country with Argentina and Brazil.
Awarded in 2019, and for a term of 20 years, the contract established the design, construction, operation and financing of the sections that include Route 14 Center-West, the Sarandí del Yi Bypass, and the connection of Route 14 with Route 3. Until now, the shares in Circuito Vial 3, which is already 100% operational, were divided between Copasa (80%) and Espina Obras Hidráulicas (20%), both of Spanish origin.
The closing of the operation is subject to the authorizations of the Uruguayan Government and the financiers, and is scheduled for the last quarter of the year.
FERRERE's work included, among other things, advising Bestinver and Aberdeen on the due diligence of Circuito Vial Tres S.A. and Hareson Investments S.A., as well as on the purchase of 100% of the shares of said companies and the loans from the shareholders.
