FERRERE advised MC-Building Chemicals Mueller and Partners (MC-Building Chemicals) on the structuring, negotiation and implementation of a joint venture with Plastizil S.A. (Plastizil), for development of the building chemicals business in Paraguay.
MC-Building Chemicals is a multinational with over six decades of experience and a presence in more than 40 countries in Europe, the Americas, Asia, Africa and Oceania. It is one of the leading international manufacturers of technologies for concrete protection, repair and waterproofing, as well as specialized building solutions.
The transaction included prior reorganization of the business by transfer of the Plastizil building chemicals unit to a special-purpose vehicle. Then, MC-Building Chemicals acquired a majority stake in that company, launching a strategic alliance for joint development of the business in Paraguay.
FERRERE advised MC-Building Chemicals on design of the deal’s legal structure, negotiation and documentation of the instruments implementing it, as well as on coordination of the corporate, regulatory and closing aspects.
The transaction was led by partner Carlos Vasconsellos, together with Claudia Arietti and Yamina Centurión. The team also included Montserrat Puente, Nicole Vuyk, Alejandro López, Josefina Sosa, Estefanía Baranski, Sady Basualdo, Ezequiel Pei, Anna Manchini and Guadalupe Laino.
