The FERRERE team advised Jonas Software, a leading company worldwide, on the acquisition of two Uruguayan companies in the Information Technologies sector: GeneXus Consulting and K2B, leaders and pioneers in software development and other IT services in Uruguay.

FERRERE conducted the full due diligence for both companies, and assisted in the structuring and negotiation of the transaction and the share purchase agreements.

GeneXus Consulting offers services to assist organizations in achieving their business objectives through appropriate use and implementation of GeneXus technology. K2B is an ERP solution for the Government and Private Sector, which allows all organizations and industries to automate administrative, accounting, budget and financial management of the organization from a comprehensive vision. K2B provides ERP / government resource planning systems that are executed by large government departments and private sector companies.

On this agreement, FERRERE partner Martín Cerruti noted, “in recent years, Uruguay has drawn world attention because of the IT talent existing in the country, where software exports per capita are the highest in Latin America, representing a third of Uruguay’s total volume of exports. This acquisition, by a major global company like Jonas Software, is an excellent example of one of the several ongoing investments by IT companies in the talented Uruguayan software industry.”

FERRERE’s advice was led by Martín Cerruti, accompanied by a broad and qualified team of practitioners: Alejandro Alterwain and Isabel Hounie (counsels), Walter Planells, Carolina Piacenza, Clara Porro, Giselle Cardoso, Cecilia Alberti, Eugenia Contreras, Sofía Vidal, Paula Uhalde, Lorenzo Pérez, María Maiorano and Paulina Cedrola (associates).
